These Terms and Conditions (“Terms”) govern access to and use of the Clavis-X platform, including the mobile application, website, internal store,

AI-powered educational services, digital content, subscriptions and any related services or features.

By accessing, using or creating an account on Clavis-X, the user confirms that they have read, understood and accepted these Terms in full.

If the user does not agree with these Terms, they must not use Clavis-X.

2. DESCRIPTION OF THE SERVICE

Clavis-X is a digital educational platform dedicated to studying, educational organization and digital learning content distribution.

The platform may include:

• educational materials and notes;

• AI-generated explanations and exercises;

• study progress systems;

• educational tools;

• internal content marketplace;

• subscriptions;

• digital purchases;

• creator features;

• school, teacher and student functionalities;

• experimental or future platform services.

Clavis-X reserves the right to modify, suspend, update or remove features at any time.

3. ELIGIBILITY

To use Clavis-X, users must:

• have legal capacity under applicable law;

• provide accurate and updated information;

• use the platform in compliance with applicable laws and these Terms.

If a user accesses Clavis-X on behalf of a school, company or organization, they represent that they have the authority to do so.

4. USER ACCOUNT

Users are responsible for:

• maintaining the security of their account;

• protecting login credentials;

• activities performed through their account.

Users agree not to:

• share credentials;

• use accounts belonging to others;

• attempt unauthorized access;

• misuse authentication systems.

Users must immediately notify Clavis-X of any suspected unauthorized use or security breach.

Clavis-X may suspend, restrict or terminate accounts that:

• violate these Terms;

• create security risks;

• engage in unlawful or abusive conduct.

5. USER UPLOADED CONTENT

Users may upload content including:

• PDF files;

• educational documents;

• texts;

• images;

• learning materials;

• metadata and descriptions.

Users represent and warrant that:

• they own or are authorized to use uploaded content;

• uploaded content does not infringe copyright, trademarks or third-party rights;

• uploaded content is not illegal, fraudulent, offensive or harmful;

• uploaded content does not unlawfully contain third-party personal data.

Users remain solely responsible for their uploaded content.

6. LICENSE GRANTED TO CLAVIS-X

By uploading content to the platform, users grant Clavis-X a:

• non-exclusive;

• worldwide;

• royalty-free;

• sublicensable where technically necessary;

license to host, process, convert, display, distribute and make such content available through the platform solely for the operation of Clavis-X services.

If content is published publicly or through the internal marketplace, users authorize Clavis-X to display and distribute such content according to platform functionality.

7. PUBLIC CONTENT AND INTERNAL STORE

Clavis-X may allow users to publish educational content within the platform marketplace.

Published content may include:

• title;

• creator or nickname;

• description;

• subject;

• language;

• pricing;

• previews;

• statistics and metadata.

Users acknowledge that:

• publicly shared content may be viewed by others;

• content may be purchased or downloaded;

• removing content may not remove copies already purchased or lawfully accessed by users.

Clavis-X may remove content that:

• violates laws;

• infringes intellectual property rights;

• creates legal or reputational risks;

• violates these Terms;

• is fraudulent, abusive or harmful.

8. COPYRIGHT AND INTELLECTUAL PROPERTY

All rights related to the Clavis-X platform, including:

• software;

• platform architecture;

• interfaces;

• logos;

• trademarks;

• graphics;

• databases;

• source code;

• original platform content;

remain the property of Clavis-X or their respective owners.

Users may not:

• copy;

• resell;

• distribute;

• decompile;

• reverse engineer;

• commercially exploit the platform without written authorization.

Users retain ownership of uploaded content, subject to the license necessary for operating the platform.

9. ARTIFICIAL INTELLIGENCE FEATURES

Clavis-X uses artificial intelligence systems, including OpenAI or equivalent providers, to generate:

• explanations;

• exercises;

• summaries;

• educational transformations;

• study assistance;

• educational outputs.

Users acknowledge that:

• AI-generated content may contain inaccuracies or errors;

• AI outputs do not replace professional, academic or expert advice;

• educational outputs should be independently verified;

• Clavis-X does not guarantee complete accuracy, reliability or suitability of AI-generated materials.

Users may not use Clavis-X AI features:

• for unlawful activities;

• to violate third-party rights;

• to generate prohibited content;

• to process sensitive data without proper authorization.

10. SUBSCRIPTIONS AND DIGITAL PURCHASES

Clavis-X may provide:

• subscriptions;

• digital purchases;

• premium services;

• paid educational content.

Purchases processed through:

• Apple App Store;

• Google Play Store;

are also subject to the terms and policies of those platforms.

Users are responsible for:

• managing subscriptions;

• renewals;

• cancellations through the relevant store;

• payment obligations.

Except where required by law:

• digital purchases may be non-refundable;

• premium access may expire after subscription termination;

• pricing and features may change over time.

11. CREATOR FEATURES

Clavis-X may introduce creator-related services, including:

• content monetization;

• creator earnings;

• creator dashboards;

• educational content sales;

• creator programs.

Access to creator features may require:

• identity verification;

• tax information;

• administrative documentation;

• acceptance of additional agreements.

Clavis-X reserves the right to:

• suspend creator programs;

• withhold payments in case of fraud or disputes;

• limit monetization features;

• introduce future commissions or fees.

12. PROHIBITED USES

Users may not use Clavis-X to:

• violate laws;

• infringe copyright;

• distribute malware;

• gain unauthorized access;

• abuse platform infrastructure;

• create fake accounts;

• distribute spam;

• upload harmful or unlawful material;

• compromise platform security;

• misuse AI systems;

• engage in fraudulent activities.

13. SUSPENSION AND TERMINATION

Clavis-X may:

• suspend accounts;

• restrict features;

• remove content;

• terminate platform access;

where necessary due to:

• violations of these Terms;

• security risks;

• legal obligations;

• abusive conduct;

• fraud prevention;

• requests from authorities.

Users may stop using the platform at any time.

14. DISCLAIMER AND LIMITATION OF LIABILITY

To the maximum extent permitted by applicable law:

Clavis-X is provided “as is” and “as available”.

Clavis-X does not guarantee:

• uninterrupted availability;

• error-free operation;

• universal compatibility;

• permanent access;

• complete accuracy of educational or AI-generated content;

• absence of service interruptions or data loss.

Clavis-X shall not be liable for:

• indirect damages;

• lost profits;

• loss of data;

• reputational damages;

• AI-generated inaccuracies;

• user-uploaded content;

• decisions made based on platform materials.

Nothing in these Terms excludes liability that cannot legally be excluded.

15. INDEMNIFICATION

Users agree to defend, indemnify and hold harmless Clavis-X, its owner, collaborators and providers from claims, liabilities, damages, losses or expenses arising from:

• unlawful use of the platform;

• violation of these Terms;

• infringement of third-party rights;

• uploaded content;

• fraudulent or abusive activities.

16. PRIVACY

Personal data processing is governed by the Clavis-X Privacy Policy available on the official website.

By using the platform, users acknowledge having read the Privacy Policy.

17. MODIFICATIONS TO THE TERMS

Clavis-X may modify these Terms at any time.

Updated versions will be published on the official website or within the platform.

Continued use of the platform after modifications constitutes acceptance of the updated Terms.

18. GOVERNING LAW

These Terms are governed by Italian law, without prejudice to mandatory consumer protection rights applicable in the user’s country of residence.

Any disputes shall be subject to the jurisdiction determined by applicable law.
